Terms of Service

By accessing or using the website, services, or products provided by Digitals Dubai ("Company," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all terms and conditions, you may not access or use our services. These Terms constitute a legally binding agreement between you and Digitals Dubai regarding your use of our website development, mobile app creation, e-commerce solutions, and digital marketing services across Dubai, Abu Dhabi, Sharjah, Ras Al Khaimah, Fujairah, Ajman, Umm Al Quwain, and all other locations within the United Arab Emirates (UAE) and the broader GCC region including Saudi Arabia, Qatar, Kuwait, Oman, and Bahrain.

Digitals Dubai provides a comprehensive range of digital services including but not limited to: custom website development, mobile application development (iOS and Android), e-commerce solutions, UI/UX design, cloud infrastructure setup, DevOps services, digital marketing, SEO optimization, and ongoing maintenance and support. Our services are delivered by our team of experts based in Dubai, serving clients throughout the UAE and GCC region. We reserve the right to modify, suspend, or discontinue any aspect of our services at any time, with reasonable notice to affected clients whenever possible.

To use our services, you must be at least 18 years old and capable of forming a binding legal contract. By engaging Digitals Dubai, you represent and warrant that all information you provide is accurate, complete, and current. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. As a client based in Dubai, Abu Dhabi, or anywhere in the UAE, you acknowledge that you will provide timely feedback, approvals, and necessary materials to enable us to deliver your project according to the agreed timeline.

Upon full payment for services rendered, you retain full ownership of the final deliverables created specifically for your project, including custom code, designs, and content. Digitals Dubai retains ownership of all pre-existing materials, tools, libraries, and frameworks used in the development process. We grant you a perpetual, irrevocable, worldwide license to use any such pre-existing materials incorporated into your final deliverables. You grant us the right to display your project in our portfolio and marketing materials unless explicitly opted out in writing. All intellectual property rights shall be governed by the laws of the United Arab Emirates and international copyright treaties.

Payment terms are specified in each project proposal or agreement. Unless otherwise agreed in writing, a 50% deposit is required to commence work, with the remaining balance due upon project completion prior to final delivery. All fees are quoted in UAE Dirham (AED) or US Dollars (USD) and are exclusive of any applicable taxes, including VAT as required by UAE law. We accept payments via bank transfer, credit card, or other methods as specified on our invoices. Late payments may incur interest at a rate of 1.5% per month and may result in suspension of services.

Project timelines are estimates provided in good faith based on the information available at the time of proposal. Actual delivery dates may vary due to factors including but not limited to: client response times, third-party dependencies, unforeseen technical challenges, or changes in project scope. Digitals Dubai will make every reasonable effort to meet agreed deadlines and will communicate any anticipated delays promptly. Time is not of the essence for project delivery unless explicitly stated in a written agreement.

Our standard engagement includes up to three rounds of revisions on key deliverables (design, functionality, content) as specified in your proposal. Additional revisions or significant changes to project scope may be subject to additional charges at our then-current hourly rates. Change requests must be submitted in writing and will be evaluated for impact on timeline and budget before implementation.

Both parties agree to maintain the confidentiality of all proprietary information disclosed during the engagement. Digitals Dubai implements industry-standard security measures to protect your data, including encryption, access controls, and secure development practices. We will not disclose your confidential information to third parties except as necessary to provide our services or as required by UAE law. This obligation survives the termination of our agreement.

Digitals Dubai warrants that our services will be performed in a professional manner consistent with industry standards. We do not warrant that our services will be error-free or uninterrupted, or that all defects will be corrected. TO THE MAXIMUM EXTENT PERMITTED BY UAE LAW, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT ANY WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW IN THE UAE AND GCC, IN NO EVENT SHALL DIGITALS DUBAI BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (i) YOUR USE OR INABILITY TO USE OUR SERVICES; (ii) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY; (iii) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT. OUR TOTAL LIABILITY TO YOU SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO DIGITALS DUBAI DURING THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO LIABILITY.

You agree to indemnify, defend, and hold harmless Digitals Dubai, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from (i) your use of our services; (ii) your violation of these Terms; (iii) your violation of any third-party rights, including without limitation any intellectual property rights or privacy rights; or (iv) any content you submit or transmit through our services.

Either party may terminate a fixed-price project for convenience upon 30 days written notice, with payment due for work completed up to the termination date. We may suspend or terminate your access to our services immediately without prior notice if you breach these Terms. Upon termination, you must pay all outstanding fees, and we will deliver all completed work products for which payment has been received.

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or our services shall first be submitted to good-faith negotiations. If the dispute cannot be resolved informally, it shall be referred to the courts of Dubai, UAE. The parties expressly submit to the exclusive jurisdiction of the Dubai courts.

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you via email or by posting a notice on our website prior to the changes becoming effective. Your continued use of our services after such notice constitutes your acceptance of the revised Terms.
